1. HERE’S HOW TO ENTER: Beginning 1:00:00 PM Eastern Time (“ET”) on 11/8/11, visit www.vocalpoint.com/AmEx/sweeps and follow the on-screen instructions to complete and submit the entry form to enter the Vocalpoint “Small Business Saturday” Sweepstakes (“Sweepstakes”). Entries must be received by 11:59:59 PM ET on 11/14/11. A person can use only one email address to enter. Limit one entry per person/email address. All entries become the property of The Procter & Gamble Distributing LLC (“Sponsor”).

2. ELIGIBILITY: This Sweepstakes is open only to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older as of the last day of the month prior to the date of entry. Employees of Sponsor, American Express Travel Related Services Company, Inc., and their respective parents, affiliates, subsidiaries, advertising, promotion and internet agencies and their immediate family members (spouse, and parents, children and siblings and their respective spouses, regardless of where they reside) and/or those living in the same household of each, whether or not related, are not eligible. All applicable federal, state, and local laws and regulations apply. Void where prohibited by law.

3. RANDOM DRAWING: A random drawing will be conducted on or about 11/16/11 from among all eligible entries received. Random drawing will be conducted by D.L. Blair, Inc., an independent judging organization whose decisions are final. Odds of winning will depend upon the number of eligible entries received.

4. PRIZES (100): $25 American Express Gift Card. Approximate Retail Value (“ARV”): $25 each. Total ARV of all prizes: $2,500. Terms and conditions on Gift Card apply. No substitution or transfer of prize by winner permitted. Sponsor reserves the right to substitute prize of comparable or greater value, at its sole discretion. All taxes and fees, if applicable, associated with prize acceptance and use not specified herein as being provided are the sole responsibility of winner. Limit one (1) prize per household.

5. WINNER NOTIFICATION: Winners will be notified by mail. If a prize is returned as undeliverable or a potential winner is not in compliance with these rules, prize will be forfeited and, at Sponsor’s discretion, an alternate winner may be selected.

6. GENERAL RULES: In no event will more than the stated number of prizes be awarded. If an entrant submits more than the stated number of entries permitted, and/or if the Sponsor suspects that an entrant attempted to obtain additional entries by using multiple email addresses, registrations, identities or any other method, all suspect entries submitted by the entrant may be declared null and void. Acceptance of prize constitutes permission for the Sponsor and its agencies to use winners’ names, city and state of residences and/or likenesses for purposes of advertising and trade in any and all media (including, without limitation for purposes of providing a winners list), now or hereafter devised, worldwide in perpetuity, without further compensation, notification or permission, unless prohibited by law. Entrants (and parent/legal guardian if entrant is a minor in his/her state of residence) agree to release, discharge and hold harmless Sponsor, American Express, and their respective parents, affiliates, subsidiaries, advertising, promotion and internet agencies and all of their directors, officers, agents, employees, and assigns (collectively, “Released Parties”) from and against any and all liability and damages caused, or claimed to be caused, by participation in this Sweepstakes or use or redemption of any prize. By participating in this Sweepstakes, entrants (and parent/legal guardian if entrant is a minor in his/her state of residence) agree to be bound by the Official Rules and the Sponsor’s and judges’ decisions, which are final and binding in all respects. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. All material submitted becomes the sole property of Sponsor and will not be returned.

NOTICE TO ENTRANTS: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered or garbled entries or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties or for other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the website. Sponsor reserves the right to cancel or modify the Sweepstakes if fraud, misconduct or technical failures destroy the integrity of the program; or if a computer virus, bug, or other technical problem corrupts the administration or security of the program as determined by Sponsor/judging agency/administrator, in their sole discretion. In the event of termination, a notice will be posted online and a random drawing for the prizes will be conducted from among all non-suspect, eligible entries received prior to termination. In the event a dispute arises regarding the identity of the entrant, entry will be deemed made by the person whose name appears on the online registration form. Any damage made to the Web Site by an entrant will be the responsibility of the entrant and/or the authorized e-mail account holder of the e-mail address submitted at the time of entry. Proof of submitting entries will not be deemed to be proof of receipt by Sponsor. Any entries which are suspected of being fraudulent (including those using robotic, automatic, programmed or similar methods of participation) will be disqualified, based on determinations made solely by Sponsor. Sponsor reserves the right to prohibit the participation of an individual if fraud or tampering is suspected or if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules and void all associated entries.
